LETTER OF ENGAGEMENT AND FEES ARRANGEMENT
Thank you for choosing GPC Gateway and for the opportunity to offer you our Background Screening Services.

This letter describes and outlines the services that GPC Gateway Pte Ltd (GPC Gateway) will provide to you (the “Client”) and the terms and conditions of our service. By choosing to engage GPC Gateway, you agree to the terms and conditions set forth herein after.

1. Scope of Services
The scope of the services and fees arrangement is detailed in Annex A.

At GPC Gateway’s request, Client shall provide the necessary information regarding the individuals (“Candidates”) for whom background checks are to be conducted.
The Client may cancel screening requests sent to GPC Gateway at its discretion. Requests for cancellations must be submitted in writing via email to [email protected]. All service cancellation request duly received would be processed for refund based on the following:
• Cancellation before submission of Letter of Authorisation: Full refund of the Package Cost;
• Cancellation after submission of Letter of Authorisation: Full billing of Package Cost

Any external costs (including credit card fees) that may arise from the Refund are to be borne by the Client.

GPC Gateway will make every effort to collect the information outlined in Annex A for the conclusion of each background check case.

2. Confidentiality
GPC Gateway warrants that it is currently in compliance with and will continue to comply with its obligations under Data Protection Legislation in so far as it relates to or is connected with its provision of services under this Agreement. GPC Gateway warrants that:
• It shall only process Personal Data relating to the Subject in accordance with its obligations under relevant Data Protection Legislation;
• It has appropriate technical and organisational measures in place to protect Personal Data relating to the Subject against unauthorised or unlawful processing and against accidental loss, destruction or damage; and
• It may transfer a Subject’s Personal Data to a country or territory outside of Singapore and/or the location in which the Subject is located, where that country or territory has data protection obligations equivalent to those set out in relevant Data Protection Legislation, GPC Gateway has implemented an approved transfer process under the Data Protection Legislation or is permitted to do so under the Data Protection Legislation or the Subject has otherwise consented.

Upon the termination of this Agreement, all Personal Data shall be returned to the Client or, upon the request of the Client, destroyed, except to the extent that GPC Gateway is required by the applicable law to retain copies of such Personal Data pursuant to any relevant legislation or order, whether existing at the time of the termination of this Agreement or arising thereafter.

Under a requirement from the Ministry of Manpower in Singapore, GPC Gateway will retain Personal Data (Personal Data provided by the Client in the course of preparing the verification report and the final verification report) for 2 (two) years from the date the final verification report is issued.

GPC Gateway shall promptly notify the Client in the event that:
• There are any material adverse changes in or breaches of the security policies and practices applicable to GPC Gateway which would adversely affect the services provided by GPC Gateway to the Client under this Agreement;
• Any legally binding request for disclosure of a Subject’s Personal Data by a law enforcement authority or regulatory body unless otherwise prohibited; or
• There is any instance of accidental or unauthorised access to or processing of a Subject’s Personal Data.

3. Commercials and Payment Terms
Each time a report is submitted, GPC Gateway will charge the Client the fees outlined in Annex A. On January 1, 2023, 8% GST (Goods and Services Tax) will be applied to all services provided to Singapore clients. On January 1, 2024, 9% GST (Goods and Services Tax) will be applied to all services provided to Singapore clients.

GPC Gateway shall take all reasonable steps to ensure that no material information or discovery is omitted from the candidate report submitted to the Client.

GPC Gateway assumes no responsibility for any omissions, errors, or inaccuracies in the report, as certain information may have been obtained from third -party sources. GPC Gateway shall not be liable for any failure, inability, or delay in performing its obligations under this agreement if such failure, inability, or delay is caused by an act of God, war, explosion or sabotage, riots, civil disturbance, strike, lockout, labour trouble, accident, causality, law & order, or regulation. each party incurring such a cause and resuming performance through the use of overtime or additional employees must act expeditiously and exert every reasonable effort.

This arrangement is on a principal-to-principal basis and shall not be construed as a partnership or joint venture between the Parties to this agreement.

This agreement is governed by Singaporean law. Any dispute arising out of or relating to this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) then in effect, which rules are deemed to be incorporated by reference into this clause. the arbitration shall be held in Singapore. One arbitrator shall comprise the Tribunal. The arbitration shall be conducted in English.

4. Electronic Signature
If this agreement was executed using an electronic signature, the parties consent and agree to the use of that electronic signature in connection with this Agreement. Each party acknowledges that the electronic signatures included in this agreement are intended to authenticate the document and have the same force and effect as manual signatures.

Annex A: Scope of Services and Fees Arrangement
The proposed scope of services will include the following:

Screening

1. Authenticity Checks
Education or Professional Certifications will be principally verified by physical educational certificate that is mailed directly from the awarding institution to GPC Gateway’s designated address, by registered mail or strictly sealed format. The copy of the graduation certificate will be sent to your Candidate in PDF format together with the final verification report. Please note that we do not return original graduation certificate. Currently we only provide our education verification service only for awarding institution in Japan. Fees charged by professional organisations, universities and third parties are payable in addition to the package cost. Discretion as to the requirement of these checks will be given to the client.

Please note that the time required to receive all necessary information from the Client is not included within the Normal turnaround time.

2. Accreditation Checks
GPC Gateway will contact the relevant authorities and conduct requested checks to ascertain if an organization or educational institute has been accredited by the national body or any other relevant authority.

3. Price
The standard service fee and express service are S$108.00 with GST (S$100.00 without GST) and S$162.00 with GST (S$150.00 without GST) per candidate’s verification. From the order received on January 1, 2024 onwards, the service fee will be revised as S$ 109.00 with GST (S$ 100 without GST) for standard and S$ 163.5 with GST (S$ 150.00 without GST). The separate service of authenticity checks and accreditation checks are not available on our one package service.

Arrangement

Notes:
Any processing fees charged by professional organisations, universities and third parties may be payable by the candidate and/or the employer in addition to the charges for our verification services. GPC Gateway shall advise and/or inform you in advance of any additional fees that may be applicable via email.

The Terms and Conditions in other agreements, if any, made with GPC Gateway shall supersede the Terms and Conditions here.

契約書および報酬規程（参考日本語訳 – 英語と日本語で解釈に乖離がある場合、英語版が優先されるものとします）
GPC Gateway Pte Ltd（以下、GPC Gateway）に学歴認証サービスを提供する機会をいただき、誠にありがとうございます。

本契約書は、GPC Gatewayがお客様（以下、クライアント）に提供するサービスの概要を説明し、これ以降に記載されている相互に合意された条件で本契約を締結することについての理解を確認するものである。

1. サービスの範囲
サービスの範囲と料金の取り決めは「付録A」に記載されている。
GPC Gatewayの要請により、クライアントは学歴認証を行うEP取得予定の候補者（以下、対象者）の必要な詳細を提出する。
クライアントは、その裁量により、GPC Gatewayに転送された学歴認証の依頼をキャンセルすることができる。正式に受領したすべてのサービスキャンセル依頼は、下記に基づいて返金処理されることとする。
– LOA受領前のキャンセル： パッケージ料金の全額が返金されるものとする
– LOA受領後のキャンセル： パッケージ料金の全額を請求するものとする
返金によって発生する可能性のある外部費用（クレジットカード手数料を含む）はクライアントの負担となる。
GPC Gatewayは、各学歴認証サービスを完了させるために、「付録A」に記載されている必要な情報を入手することに、あらゆる合理的な努力を払うものとする。

2. 守秘義務
GPC Gatewayは本契約に基づくサービス提供に関連する限りにおいて、データ保護法に基づく義務を現在遵守しており、今後も遵守し続けることを保証するものとする。GPC Gatewayは以下のことを保証する：
GPC Gatewayは、関連するデータ保護法に基づく義務に従ってのみ、対象者に関する個人データを使用する。
GPC Gatewayは、対象者に関する個人データを不正または違法な処理から保護し、偶発的な損失、破壊または損傷から保護するために、適切な技術的および組織的措置を講じることとする。
GPC Gatewayは、シンガポールおよび/または対象者の所在地以外の国または地域に対象者の個人データを転送することができる。その場合、その国または地域は、関連するデータ保護法制に規定されたものと同等のデータ保護義務を有し、データ保護法制に基づいて承認された転送プロセスを実装しているか、データ保護法制に基づいて転送することが許可されているか、対象者が同意した上で、GPC Gatewayはデータを転送するものとする。
本契約が終了した場合、すべての個人データは、本契約終了時に存在したか、またはそれ以降に発生したかに関わらず、関連する法律または命令により、GPC Gatewayが当該個人データのコピーを保持することが適用法で義務付けられている範囲を除き、クライアントに返却されるか、またはクライアントの要求に応じて破棄されるものとする。 GPC Gatewayは、以下の場合には速やかにクライアントに通知する:
本契約に基づき GPC Gateway がクライアントに提供するサービスに悪影響を及ぼすような、セキュリティ方針および慣行の重大な不利益変更または違反があった場合
法執行機関または規制機関による、対象者の個人データの開示に関する法的拘束力のある要求があった場合
対象者の個人データへの偶発的または不正なアクセスまたは処理があった場合

3.支払条件等
GPC Gatewayは、提出された証明ごとに、「付録A」に記載する料金に基づき請求し、クライアントはこれを支払うものとする。2023年1月1日より、シンガポールのクライアントに提供される全てのサービスには8%のGST（物品サービス税）が適用され、2024年1月1日からは、シンガポールのクライアントに提供される全てのサービスには9%のGST（物品サービス税）が適用される。
GPC Gatewayはクライアントに提出する証明書から重要な発見や情報の漏れがないよう、あらゆる合理的な手段を講じるものとする。GPC Gatewayは、証明書に含まれる特定の情報が第三者の情報源から取得される可能性があるため、証明書内の誤り、エラー、不正確さについて一切の責任を負わない。
天災地変、戦争、爆発、サボタージュ、暴動、内乱、ストライキ、ロックアウト、労働争議、事故、因果関係、法律、秩序、規制が原因である場合、GPC Gatewayは本契約に基づく義務の不履行、不能、遅延について責任を負わないものとする。
このような原因が発生した場合、各当事者は、履行を再開するために、十分な配慮とあらゆる合理的な努力を払うものとする。 この取り決めは、本契約の両当事者間のパートナーシップまたは合弁事業として解釈されるものではなく、契約当事者間の関係にあるものとする。
本契約はシンガポール法に準拠する。本契約の存在、有効性、契約の終了に関する事項を含め、本契約に起因または関連するあらゆる紛争は、シンガポール国際仲裁センター（以下、SIAC）の仲裁規則（以下、SIAC規則）に従い、同センターが管理する仲裁に付託され、最終的に解決されるものとし、同規則は参照により本条項に組み込まれるものとする。仲裁地はシンガポールとする。仲裁廷は、1名の仲裁人により構成される。仲裁の言語は英語とする。

4. 電子署名
本契約が電子署名により署名されている場合、本契約の当事者は、本契約に関してかかる電子署名を使用することに同意する。各当事者は、本契約に含まれる両当事者の電子署名が、本書面を認証し、手書きによる署名と同等の効力を有することを意図していることに同意する。

付録A：サービス範囲と料金の取り決め

スコープは以下の通りとする：

1. Authenticity Checks
卒業または専門資格は、クライアントもしくは候補者の指示により、教育機関からGPC Gatewayの当社指定住所まで直接郵送された厳封または書留の卒業証書の原本をもって認証される。手配された卒業証明書の写しは、学歴認証レポートと一緒に PDF 形式で候補者に送付され、原本は返却されない。現在GPC Gatewayが提供している学歴確認サービスは、日本国内の教育機関のみを対象とする。

専門機関、大学、第三者から請求される手数料は、パッケージ料金に加えてクライアントが支払いを行う。これらのチェックの必要性については、クライアント の裁量に委ねられる。また、学歴認証完了まで所要期間として提示されている期間は、卒業証書の原本を含めた全書類の提供をクライアントから受けてからの所要期間であり、発注から認証完了までの期間ではない。

2. Accreditation Checks
GPC Gatewayは関係当局に連絡し、組織または教育機関が国家機関またはその他の関係当局から認定を受けているかどうかを確認するため、要求されたチェックを行う。

3. 料金
標準サービス料金は、GST込みで SGD108.00 (GST込み)、SGD100.00（GST除く）である。
エクスプレスサービス料金は、GST込みでSGD162.00 (GST込み)、SGD150.00（GST除く）である。
2024年1月1日以降の発注については、標準サービス料金はSGD109.00 (GST込み)、SGD100.00 (GST除く)、エクスプレスサービス料金はSGD163.50（GST込み）、SGD150.00（GST除く）に改訂される。
上記は候補者1名分の認証料金である。

注意事項
専門機関、大学、第三者から請求される処理手数料は、GPC Gatewayの学歴認証サービスの料金とは別に、対象者または雇用主が支払う必要がある。GPC Gatewayは、追加料金が発生する可能性がある場合、事前にEメールにて通知を行うものとする。

なお、 GPCゲートウェイと締結された他の契約がある場合、その条項が本規約に優先して適用されるものとします。
